Automated Clarity™ System Terms & Conditions

1. Overview
Automated Clarity™ is managed operating infrastructure operated by Duzzi Technologies Inc.
Automated Clarity™ is designed to keep the operation current as work changes across the systems, people, and handoffs already in use, reducing how much operating capacity is consumed simply keeping the business current.
By purchasing, accessing, or using Automated Clarity™, you agree to these Terms & Conditions.
2. Company & Product Relationship
Automated Clarity™ is a product of Duzzi Technologies Inc.
Payments, billing, receipts, subscriptions, account administration, and service operations may be processed or managed under Duzzi Technologies Inc.
References to “Automated Clarity™,” “the system,” “we,” “us,” or “our” may refer to Automated Clarity™ and/or Duzzi Technologies Inc., as applicable.
3. 30-Day Deployment & Managed Operation
Automated Clarity™ is deployed and operated as a managed system.
The initial purchase covers 30 days of deployment, configuration, system connection, verification, calibration, and managed operation for the approved scope.
The initial purchase is a one-time purchase. It does not create a subscription, authorize recurring monthly billing, or require the client to continue Automated Clarity™ after the initial 30-day period.
At the end of the initial 30-day period, the client may elect to continue with ongoing Managed System Operation under separately agreed scope, monthly pricing, and billing terms.
Recurring monthly billing begins only after separate acceptance and authorization.
4. Service Pricing
The price for the initial 30-Day Deployment & Managed Operation is the price presented at purchase or otherwise agreed in writing.
Any ongoing monthly price is separate from the initial purchase and is established after reviewing the approved operating scope and actual operating load observed during the initial 30-day period.
Ongoing scope, monthly pricing, and billing terms apply only after separate acceptance and authorization by the client.
Ongoing pricing remains applicable only while the client account remains active, current, and in good standing, unless otherwise agreed in writing.
Material changes in operating scope or sustained operating load may require a pricing or scope review.
If the client account is cancelled, paused, becomes inactive, falls out of good standing, or is later reactivated, then-current pricing may apply.
5. Managed Deployment
Automated Clarity™ deployment may include configuration, onboarding, system preparation, system connections, verification, calibration, and managed operation during the initial 30-day period.
The technical structure and deployment requirements may vary based on the approved operating scope, systems, integrations, locations, operating load, and business requirements.
Materially expanded scope may require additional deployment work or then-current pricing.
6. Reactivation
If Automated Clarity™ service is cancelled, paused, suspended, or otherwise becomes inactive, any future reactivation is subject to system availability, current deployment requirements, and then-current pricing.
Previously held pricing, configuration, deployment timing, or service terms are not guaranteed after cancellation, suspension, pause, or inactivity.
7. Ongoing Service
Ongoing Automated Clarity™ service is optional after the initial 30-Day Deployment & Managed Operation.
If the client elects to continue and separately accepts and authorizes the ongoing scope, monthly pricing, and billing terms, ongoing service is provided on a recurring monthly basis unless otherwise agreed in writing.
Ongoing service may include system operation, monitoring, operational state maintenance, exception detection, system oversight, maintenance, and related managed infrastructure services.
Ongoing service may be cancelled with 30 days’ written notice unless a separate written agreement provides otherwise. Cancellation becomes effective at the end of the applicable 30-day notice period.
Payments processed before cancellation becomes effective remain final and non-refundable, except where a refund is required by applicable law.
8. Good Standing
A client account is considered in good standing when required payments are current, required system access is maintained, required information has been provided, and the client has not materially disrupted system operation.
Duzzi Technologies Inc. may suspend, pause, limit, or terminate service if an account is not in good standing.
Loss of good standing may result in suspension of system operation or then-current pricing upon reactivation.
9. System Nature
Automated Clarity™ operates as managed operating infrastructure designed to keep the operation current as work changes across connected systems, people, and handoffs.
It does not replace internal staff, business judgment, customer service obligations, sales responsibility, dispatch responsibility, legal obligations, financial obligations, or management responsibility.
Automated Clarity™ does not guarantee specific revenue outcomes, customer responses, booked jobs, closed sales, retained customers, or financial results.
10. Client Responsibilities
You agree to:
- Provide accurate and complete information.
- Maintain access to required systems, inboxes, communication channels, accounts, and integrations.
- Maintain accurate billing and contact information.
- Respond to reasonable onboarding or system configuration requests.
- Avoid interfering with system operation.
- Notify us of material changes that may affect system performance.
Failure to maintain required access, provide required information, or support system operation may impact performance and may result in suspension, limitation, or termination of service.
Accurately disclose whether connected inboxes, accounts, communication channels, or operational activity relate to one approved business location or multiple locations, branches, brands, or operations.
11. Approved Operating Scope
Automated Clarity™ is deployed for the approved business location or locations and operational scope identified during onboarding or otherwise agreed in writing.
Connected systems, inboxes, accounts, communication channels, workflows, departments, and operating activity must remain within the approved deployment scope unless otherwise agreed in writing.
The client may not use one Automated Clarity™ deployment across additional business locations, separate branches, separate brands, franchises, or independently operated entities outside the approved scope without prior written approval.
If Duzzi Technologies Inc. determines that connected systems, locations, departments, communication channels, or operational activity represent a materially expanded scope, service may be paused, limited, separated into additional client or location records, or repriced under then-current multi-location or expanded-scope terms.
The client is responsible for accurately disclosing the locations, systems, accounts, communication channels, departments, brands, and operations included in the deployment.
12. Access & Control
Automated Clarity™ operates as a managed system.
Direct system access, dashboards, admin access, source code access, manual control interfaces, or unrestricted backend access are not included unless expressly agreed in writing.
Duzzi Technologies Inc. may determine the appropriate technical structure, tools, workflows, monitoring methods, integrations, and system configuration required to deliver the service.
13. Service Limitations
While Automated Clarity™ is designed to keep the operation current and reduce the operating capacity required to maintain current state, results depend on business conditions, demand, staff behavior, customer behavior, available data, system access, external platforms, and other factors.
No guarantee of specific financial outcomes is made.
No system can eliminate all operational risk, missed communication, human error, platform error, or external failure.
Third-party platforms, including email providers, communication tools, payment processors, CRMs, hosting providers, and automation platforms, may affect service availability or performance.
14. Third-Party Services
Automated Clarity™ may rely on third-party tools, platforms, APIs, hosting providers, communication providers, payment processors, or software services.
Duzzi Technologies Inc. is not responsible for failures, outages, policy changes, delays, account restrictions, pricing changes, or data issues caused by third-party services.
Client cooperation may be required to maintain or restore access to third-party systems.
Certain email connection methods, including IMAP, may require periodic reauthorization or reconnection because of email-provider authentication, security, or policy requirements.
15. Security & Data Handling
Duzzi Technologies Inc. takes security seriously and uses administrative, technical, and operational safeguards designed to protect system integrity, client data, and service availability.
Automated Clarity™ uses established third-party infrastructure providers for hosting, payments, communications, database services, authentication, monitoring, and related system operations.
Duzzi Technologies Inc. uses third-party infrastructure providers that maintain independently validated security and compliance programs meeting or exceeding SOC 2-level controls, including recognized standards such as SOC 2, ISO 27001, PCI DSS, or equivalent frameworks applicable to their services.
These providers are selected based on security posture, operational reliability, compliance maturity, and suitability for the Automated Clarity™ infrastructure.
No method of electronic transmission, storage, hosting, or processing is completely secure. Duzzi Technologies Inc. does not guarantee that unauthorized access, service interruption, data loss, or security incidents will never occur.
Clients are responsible for maintaining secure access to their own systems, accounts, inboxes, credentials, devices, and internal users.
16. Payments & Billing
Payments may be processed through Stripe or another authorized payment processor.
The initial 30-Day Deployment & Managed Operation is a one-time purchase charged at checkout or otherwise as agreed in writing.
By purchasing the initial deployment, you authorize Duzzi Technologies Inc. and its payment processor to charge only the one-time purchase amount, applicable taxes, and any other charges expressly agreed for that purchase. The initial purchase does not authorize recurring monthly billing.
If the client separately elects ongoing Managed System Operation, recurring monthly service fees are billed in advance only after the client separately accepts and authorizes the ongoing scope, monthly pricing, and billing terms.
You are responsible for maintaining valid payment information for any authorized ongoing service.
Failed, disputed, reversed, or delayed payments may result in service suspension, loss of pricing eligibility, or termination.
17. Taxes
Prices may be exclusive of applicable taxes unless otherwise stated.
The client is responsible for applicable taxes, duties, fees, or government charges associated with the purchase or use of Automated Clarity™.
Duzzi Technologies Inc. may collect applicable taxes where required or where configured through its payment processor.
18. No Refunds
All payments are final and non-refundable once processed, except where a refund is required by applicable law.
19. Limitation of Liability
To the maximum extent permitted by law, Duzzi Technologies Inc. and Automated Clarity™ are not liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Business interruption.
- Lost revenue, lost profits, lost opportunities, or lost customers.
- Third-party platform failures.
- Client misuse, misconfiguration, or lack of access.
- External business conditions or market factors.
- Failures caused by incomplete, inaccurate, or delayed client information.
To the maximum extent permitted by law, the total liability of Duzzi Technologies Inc. arising from or relating to the affected service is limited to the amount paid by the client for the affected service period, unless otherwise required by applicable law.
20. Modifications
System features, components, workflows, integrations, configurations, and service methods may evolve over time to improve performance, reliability, security, or operational quality.
Duzzi Technologies Inc. may modify, replace, remove, or upgrade system components at its discretion, provided the core purpose of the service remains substantially aligned with Automated Clarity™ managed operating infrastructure and keeping the operation current as work changes.
21. Termination
The initial 30-Day Deployment & Managed Operation concludes at the end of the initial 30-day period unless the client separately elects and authorizes ongoing service. No cancellation notice is required to decline ongoing service.
Once ongoing service has been separately authorized, it may be terminated:
- By the client with 30 days’ written notice.
- By Duzzi Technologies Inc. if payment is not maintained.
- By Duzzi Technologies Inc. if required system access is not maintained.
- By Duzzi Technologies Inc. if system operation is materially disrupted.
- By Duzzi Technologies Inc. if continued service is no longer operationally, commercially, or technically viable.
Upon termination, system operation may stop, integrations may be disconnected, and access to managed services may end.
22. Updates
These Terms & Conditions may be updated periodically.
Continued use of Automated Clarity™ after updates are posted or provided constitutes acceptance of the updated terms.
